These terms and conditions apply to every offer, quotation and agreement between TEPE BUILDING MATERIALS BV (hereinafter "Supplier") and a Counterparty to which Supplier has declared these terms applicable.
All quotations and offers from the Supplier are non-binding, unless a term for acceptance is specified.
Obvious errors or mistakes in our offers do not bind the Supplier to performance.
The agreement between the Supplier and the Counterparty is entered into for an indefinite period unless nature dictates otherwise.
Supplier is entitled to suspend fulfillment or terminate the agreement if the Counterparty fails to fulfil obligations or compliance becomes unreasonably burdensome.
Force majeure includes any circumstance beyond our control: strikes, fire, government measures, transport disruptions, and unforeseen logistics crises. During such periods, Supplier is not liable for delays.
Payment must be made within 30 days of the invoice date. Default is automatic after expiry, triggering statutory interest.
Supplier's liability is strictly limited to direct damages up to the invoice value. We are never liable for indirect profit loss or consequential business interruption.
Dutch law applies to all agreements. Disputes will be submitted to the competent court in Amsterdam, Netherlands.
